TERMS & CONDITIONS - THE BASICS

These Terms and Conditions (“T&C”) represent the legally binding agreement between you (“the Distributor Partner” or “Customer”) and Moon Flower Distribution LLC, owner and operator of this website.

Our T&C define the expectations, limitations, and responsibilities involved when purchasing or distributing our hemp-derived beverage products (Moon Brews). They help clarify the relationship between Moon Flower as the supplier and you as the wholesale purchaser or distributor.

Because this website is used for business-to-business transactions, these T&C differ from standard retail policies. They address elements specific to distribution, such as:

Minimum case order quantities
Delivery and freight handling
Payment terms and processing
Compliance verification for hemp-derived products

These Terms and Conditions are designed to protect both parties and to ensure that all sales and shipments remain compliant with West Virginia law and the 2018 Federal Farm Bill, which governs hemp-derived products containing less than 0.3% Delta-9 THC on a dry-weight basis.

Please note that laws surrounding hemp-derived THC beverages can vary by state. It is the buyer’s responsibility to ensure that our products are lawful to distribute or resell within their state or territory.

TERMS AND CONDITIONS

1. ELIGIBILITY

This website is intended exclusively for licensed beverage distributors, retail buyers, and wholesale partners operating in compliance with all applicable state and federal laws, including the 2018 Federal Farm Bill and West Virginia hemp regulations.

You must be 21 years of age or older to access or make purchases through this platform.

Moon Flower Distribution reserves the right to verify account credentials and deny access to individuals or entities who do not meet eligibility requirements.

2. PRODUCTS AND COMPLIANCE

All Moon Flower products are hemp-derived beverages formulated with compliant levels of Delta-9 THC (<0.3% by dry weight) as defined by federal law.

It is the buyer’s responsibility to ensure that hemp-derived products are legal for resale or distribution in their state or jurisdiction. Moon Flower Distribution is not liable for regulatory actions outside of West Virginia.

We reserve the right to refuse orders or limit quantities at our discretion, especially in areas with unclear or conflicting hemp regulations.

3. ORDERING AND PAYMENT

Orders may be placed only by verified wholesale partners through our website or authorized ordering channels.

Moon Flower Distribution operates (currently) on a Net 30 payment basis. This means full payment is due within 30 calendar days from the date of invoice unless otherwise stated in writing.

If an account has any outstanding or unpaid invoices, we reserve the right to pause or decline new orders until the balance is settled in full.

Payment may be made via approved methods (ACH, credit card, or invoicing terms). Orders will not be processed or shipped until the account is in good standing.

4. SHIPPING AND DELIVERY

All shipments are fulfilled from our West Virginia facility or from our co-packing warehouse in Hatfield PA .

You are required to tell us an estimated pickup date.

Moon Flower Distribution is not responsible for delays caused by shipping carriers, weather conditions, or other factors beyond our control.

5. RETURNS AND REFUNDS

Due to the consumable nature of our products, all sales are final.

We only accept refund or replacement requests for products that are damaged or defective upon arrival. You must notify us within 5 business days of delivery and provide photographic evidence.

Refunds, if approved, will be issued to the original payment method. Please review our Refund Policy for further details.

6. ACCOUNT ACCESS AND TERMINATION

Moon Flower Distribution reserves the right to suspend or terminate any wholesale account at its sole discretion if:

False or misleading information is provided,
Payments are fraudulent or unpaid, or
The account is used in violation of these Terms or applicable law.

We also reserve the right to modify or discontinue this website or its features at any time without prior notice.

7. INTELLECTUAL PROPERTY

All content, including but not limited to product names, branding, text, graphics, images, and website design, are the intellectual property of Moon Flower Distribution LLC or its affiliates. 8. WARRANTIES AND DISCLAIMERS

All products are sold “as is” without express or implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Moon Flower Distribution makes no guarantees regarding the results of product use beyond those permitted by law. Our products are not intended to diagnose, treat, cure, or prevent any disease.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Moon Flower Wellness INC and its affiliates are not liable for any indirect, incidental, consequential, or punitive damages arising from the use or resale of our products, website, or services.

10. GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of the State of West Virginia, without regard to conflict of law principles.

Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in West Virginia.
